Authoria Terms of Service

These Terms of Service (“Terms”) govern your use of the Authoria platform and services. Authoria is a service operated by Saambaa LLC, a Delaware limited liability company (“Saambaa,” “Authoria,” “we,” “us,” or “our”). By creating an account, submitting an order, or using the Authoria service, you agree to these Terms.
1. Authoria Services
Authoria helps businesses create and publish sponsored Business Spotlights on participating publisher websites.
As part of the service, Authoria may:
- collect information about your business;
- research publicly available information about your business;
- prepare a Business Spotlight for your review;
- submit approved content for publication on participating publisher websites; and
- provide information regarding publication status and related activity.
The specific publishers, markets, features, and services available through Authoria may change from time to time.
2. Business Spotlight Content
Authoria will prepare Business Spotlight content based on information you provide and information obtained from publicly available sources.
You will have an opportunity to review and approve your Business Spotlight before publication.
By approving the content, you confirm that the information is accurate and that you have the authority to authorize its publication.
Authoria and participating publishers may make reasonable formatting, style, technical, compliance, or editorial changes necessary to publish the content.
3. Publisher Selection
You may select one or more participating publishers available within a market.
Each publisher is independently operated and may maintain its own editorial, advertising, technical, and content standards. A publisher may reject, modify, delay, suspend, or remove a Business Spotlight at its discretion.
If a selected publisher becomes unavailable before publication, Authoria may offer you an alternative publisher or adjust the applicable charges.
4. AI Visibility and Search Results
Authoria is designed to increase the visibility of businesses within content published on trusted websites that may be accessed by search engines, AI crawlers, and other automated systems.
However, Authoria does not guarantee:
- that any AI platform will crawl, index, cite, mention, summarize, or recommend your business;
- that your business will appear in any particular AI answer;
- any particular search-engine ranking;
- increased website traffic, leads, customers, sales, or revenue; or
- any specific SEO or AI-visibility result.
AI systems, search engines, publisher websites, and their algorithms are controlled by third parties and may change at any time.
5. Fees and Billing
Fees are displayed before you complete your order and are generally based on the number of publishers you select.
Unless otherwise stated at checkout, fees are charged monthly for each participating publisher selected.
Billing does not begin until your Business Spotlight is live.
Your subscription will automatically renew each month until canceled.
You authorize Authoria and its payment processor to charge the payment method associated with your account for all applicable fees. Charges may appear as Saambaa LLC or Authoria.
6. Cancellation
You may cancel your Authoria subscription at any time.
Unless otherwise stated during checkout, cancellation prevents future renewal charges and your service will continue through the end of the period for which you have already paid.
Following cancellation, Authoria may request removal of your Business Spotlight from participating publisher websites. Removal timing may depend on the applicable publisher and is not guaranteed to occur immediately.
7. Refunds
Except where required by law or expressly stated otherwise, fees already charged are non-refundable.
If Authoria is unable to provide a service you purchased because a publisher becomes unavailable or rejects the placement before it goes live, you will not be charged for that publisher or will receive an appropriate credit or refund.
8. Your Responsibilities
You agree to provide accurate, current, and complete information.
You may not submit information or materials that:
- are false, deceptive, or misleading;
- infringe another party’s intellectual-property or privacy rights;
- violate applicable advertising or consumer-protection laws;
- are defamatory, unlawful, fraudulent, or harmful; or
- relate to products or services that Authoria or a participating publisher does not permit.
You are responsible for claims concerning your business, products, services, credentials, licenses, pricing, offers, and other factual statements contained in your Business Spotlight.
9. Agencies
If you use Authoria on behalf of another business, you represent that you have authority to act for that business and to accept these Terms on its behalf.
You are responsible for obtaining any approvals necessary from your client.
10. Business Names, Logos and Materials
You retain ownership of the business names, trademarks, logos, images, and other materials you provide.
You grant Authoria and participating publishers a non-exclusive, worldwide, royalty-free license to use, reproduce, format, display, and publish those materials solely as necessary to provide, promote, administer, and display your Business Spotlight and the Authoria service.
11. Authoria Intellectual Property
Authoria trademarks, software, systems, etc. are owned by Saambaa LLC or its licensors. Authoria retains all rights in its software, technology, designs, templates, systems, databases, methodologies, branding, and other proprietary materials.
Nothing in these Terms transfers ownership of Authoria intellectual property to you.
12. Third-Party Services
Authoria may interact with publisher websites, payment processors, analytics providers, search engines, AI services, and other third-party platforms.
Authoria does not control and is not responsible for the availability, policies, algorithms, actions, or performance of third-party services.
13. Suspension or Termination
Authoria may refuse, suspend, or terminate service if:
- you violate these Terms;
- required payments are not made;
- your content creates legal, reputational, security, or compliance concerns;
- a participating publisher requires removal; or
- continued provision of the service is no longer commercially or technically feasible.
Where reasonably possible, Authoria will provide notice before terminating paid services.
14. Disclaimer of Warranties
Authoria is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, Authoria disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, search performance, advertising performance, and suitability for any particular marketing objective.
15. Limitation of Liability
To the maximum extent permitted by law, Saambaa LLC and its affiliates, publishers, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of data.
To the extent liability cannot be excluded, Authoria's total liability arising from the service will not exceed the amount you paid to Authoria during the six months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify and hold harmless Authoria, its affiliates, and participating publishers from claims, damages, losses, liabilities, and reasonable expenses arising from:
- information or materials you provide;
- claims concerning your business, products, or services;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
17. Privacy
Your use of Authoria is also subject to the Authoria Privacy Policy.
Saambaa LLC, which operates Authoria, may collect information necessary to operate the service, process transactions, communicate with customers, analyze service performance, and measure website and crawler activity.
18. Changes to These Terms
Authoria may update these Terms periodically.
Material changes will become effective when posted or on the date otherwise specified in the updated Terms. Continued use of Authoria after an update constitutes acceptance of the revised Terms.
19. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising from these Terms will be resolved in the state or federal courts located in San Diego County, California, unless the parties agree to another dispute-resolution procedure.
